Local Business Collaborator Terms

These terms cover the KimoKawaii local business promotion. They are short on purpose. If anything here does not match what you were told, email us and we will sort it out.

What the promotion is

On one day chosen by KimoKawaii, usually about a week before the show, your customers get a free weekend pass when they buy something from you. We choose one day and every collaborator runs it together, because the promotion works by everyone pushing at once.

Who it is for

Restaurants and shops with regular daily foot traffic. Every business applies and every application is reviewed. Applying does not mean you have been accepted, and we will tell you either way.

Handing out passes

We give you a set number of passes for the day. Any customer who buys something from you on that day gets one, for as long as the passes last. It is not your call who is eligible and who is not. Once they are gone, they are gone, and you are not expected to find more.

Passes have no cash value, cannot be sold, and cannot be exchanged for anything. They are for you to give to customers, not to resell or trade.

Printed materials

We design your posters and table tents, deal with the printer, and get the materials to you, either for collection or delivered. Most collaborators cover the print cost. We get a quote based on what you tell us you need, send you the printer's receipt so you can see exactly what it costs, and invoice you for that amount. We are not adding anything on top.

Nothing is printed until the invoice is paid. If you would rather we covered it, or you would rather print from our artwork yourself, say so when you apply.

The artwork stays ours. Use it for this promotion, and please do not alter it, reuse it for something else, or pass it to anyone else.

Your logo

By applying you are giving us permission to show your business name and logo on our website, in our promotional material, and on the printed materials for this promotion. You are confirming you have the right to let us use it.

There is no fee

Taking part costs nothing. Nobody pays anybody for the collaboration itself. The only money that changes hands is you covering your own printing, if you choose to.

If the show moves or does not happen

Passes are for a specific KimoKawaii event. If that event is postponed, passes stay valid for the rescheduled dates. If it is cancelled outright, the passes have no value and neither of us owes the other anything for them. We will tell you as soon as we know, and you are free to tell your customers whatever you think is right.

We are not responsible for anything you spent on the promotion if an event moves or is cancelled, and you are not responsible for passes you have already handed out.

If something goes wrong

You are confirming you have the right to let us use your name and logo. If somebody says otherwise and comes after us over it, you cover the costs of sorting that out.

Beyond that, each of us is responsible for our own side. We are not liable to you for lost business, lost profit, or anything indirect arising from this promotion, and the most either of us could owe the other over it is the amount of money that actually changed hands, which for most collaborators is the print cost.

Ending it

Either of us can end this at any time, for any reason, without notice. If we end it we take your logo off our site and stop promoting the giveaway. If you end it, tell us as soon as you can so we are not still sending people to you.

The ordinary bits

You run your own business. You are responsible for your own premises, your own staff, and anything that happens there. Silverback Events LLC is not responsible for what takes place at your business, and you are not responsible for what happens at ours.

Nothing here makes either of us the other's employee, agent, or partner in a legal sense. It is a promotion we are running together.

We may update these terms. If we do, the version on this page is the one that applies, and we will tell you if anything material changes while your promotion is running.

These terms are governed by the laws of the State of Texas, and any dispute is dealt with in the courts of Montgomery County, Texas.
